Terms and Conditions for ORS Document Specialists

1. Introduction
Welcome to ORS. These terms and conditions govern your use of our services related to pharmaceutical document generation, including but not limited to, regulatory documentation, reports, and other materials created for the pharmaceutical and healthcare industry.
By accessing or using our services, you agree to be bound by these terms and conditions. If you do not agree to these terms, please do not use our services.
2. Services Provided
ORS offers a range of services, including but not limited to:

All documents generated will be based on the information and data provided by the client. It is the client’s responsibility to ensure the accuracy of the information provided.
3. Client Responsibilities
• Accuracy of Information: The client is responsible for providing complete and accurate information required for document generation.
• Compliance: The client must ensure that all documents provided and requested comply with applicable local and international regulations, including those set by agencies like the FDA, EMA, etc.
• Review and Approval: It is the client’s responsibility to review the generated documents for accuracy and approve them before any submission or distribution.
4. Confidentiality
We understand the sensitive nature of the pharmaceutical industry and its data. We agree to:
• Keep all client information, data, and documents confidential.
• Use client information solely for the purpose of providing the requested services.
• Implement reasonable measures to protect the confidentiality of client data.
5. Intellectual Property
• Client Ownership: All intellectual property rights in the content provided by the client remain with the client.
• Company Ownership: All intellectual property rights in the tools, templates, or processes used by ORS in generating documents remain with the company. However, all final deliverables provided to the client are considered the property of the client upon full payment of services.
6. Payment Terms
• Fees: Fees for services will be outlined in a service agreement or contract. Payment terms, including timelines and amounts, must be adhered to.
• Late Payments: Late payments may result in the suspension of services and may incur additional charges as per the agreed rate in the contract.
7. Warranties and Disclaimers
• ORS strives to provide high-quality, accurate documentation services. However, we do not warrant that the documents generated will meet all regulatory approval criteria, as this is subject to the guidelines of regulatory agencies.
• The company does not guarantee the success of any submissions or approvals based on the generated documents.
8. Limitation of Liability
ORS shall not be held liable for:
• Any indirect, incidental, or consequential damages resulting from the use of the documents generated.
• Any regulatory fines, penalties, or rejections stemming from errors in the information provided by the client.
Our liability for any claim arising out of these terms and conditions shall be limited to the total amount paid by the client for the services provided.
9. Termination
Both parties may terminate the contract with written notice. Upon termination, the client will be responsible for paying for any services rendered up to the date of termination.
10. Governing Law
These terms and conditions shall be governed and construed in accordance with the laws of local jurisdiction. Any disputes arising from or relating to these terms shall be resolved in the court of laws within local jurisdiction.
11. Changes to Terms and Conditions
ORS reserves the right to modify these terms and conditions at any time. Clients will be notified of any significant changes, and continued use of the services after such changes constitutes acceptance of the updated terms.
